The following Terms of Use dictate your use of Vocali and provide information about the Vocali Service which is outline below. When you use the Vocali Service or create a Vocali account, you agree to these terms.The Vocali Service is provided to you by Vocali Ltd and these Terms of Use constitute an agreement between you and Vocali.The Vocali ServiceWe agree to provide you with the Vocali Service. The Service includes the Vocali application, features, services, technologies and software that we provide to achieve Vocali’s mission:
“To give you a space to share your voice and allow you to communicate with the people you care about”
Vocali’s Data PolicyProviding the Service requires collecting and using your information. The Data Privacy Policy cover how we collect, utilise and share this information across and Service and with our Service providers. It also explains the ways in which you can control your information.
Your Commitments as a User
In return for our commitment to provide you with the Vocali Service, we require you to make the following commitments to us;
Who Can Use VocaliWe want our Service to be as inclusive as possible, whilst still maintaining an environment that is safe, secure and in accordance with the law. In order for us to do so, the following restrictions apply to the use of our Service.
• You must be at least 13 years old.
• You must not be prohibited from receiving any aspect of our Service under applicable law in your jurisdiction.
• We must not have previously disabled your account for violation of law or any of our policies.
• You must not be a convicted sex offender.
• You must not be convicted of a crime against animals.
Ways in Which You Cannot Use Vocali• You cannot use Vocali to create inappropriate or harmful content, you may also not use the Service to create content that may deemed offensive to other users.
• You cannot use Vocali to make offensive or abusive content directed at an individual user or group. You may not use the Service to create content which is directed at a specific user or group which maybe considered cyber bullying.
(We reserve the right to ban or block people who use the Service in this way)• You cannot impersonate someone and you cannot create an account for someone else unless you have their express permission.
• To use the Service you will have to disclose your identity. You must provide us with correct, accurate and up to date information, including registration information.
• You cannot use the Service to anything unlawful, misleading, fraudulent or for any other illegal or unauthorised purpose.
• You cannot do anything to interfere with or impair the intended operation of the Service.
• You cannot buy, sell, or transfer any aspect of your account or solicit, collect, or use login information of other users.
• You cannot violate or aid in the violation of our Terms of Use or our Data Privacy Policy.
• You cannot attempt to create accounts, attempt to access accounts or collect account information in unauthorised ways or without our express permission.
• You cannot post private or confidential information or do anything that violates someone else’s rights or intellectual property.
• You cannot use the Service to record music which is covered by, or infringes upon the intellectual property of another individual or organisation.
Permissions You Grant Us• When you use the Service to record, post or upload content that information is considered the intellectual property of you as the User. You grant to us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your content. You may end this license anytime by deleting your content or account.• You give Vocali permission to use your username, profile picture and content in a public environment. You give us permission to show your username, profile picture and content in a public environment without restriction or the need to compensate you as the User.• You agree that we can download and install updates to the Service on your device.Rights We Retain• We retain the right to change your username if we believe it is appropriate or necessary. We may not select a username that seeks to impersonate someone else or infringes on the intellectual property rights of another person or organisation.
• You may only use our intellectual property, trademarks or designs with prior written permission from Vocali Ltd.
• We retain all rights to our content, including but not limited to; sounds, images or designs provided by us in the Service.
• You must obtain written permission from us in order to modify decompile, or otherwise attempt to extract source code from us.
Content Removal and Account Deletion
• We may remove any content or information you share on the Service if we believe that it violates our Terms of Use, Data Privacy Policy or where we are required to do so by law.
We may refuse to provide or stop providing all or part of the Service immediately if:• You clearly, seriously or repeatedly violate our Terms of Use or Data Privacy Policy.
• If you repeatedly or purposefully infringe other people’s intellectual property rights.
• Where we are required to do so by law.
Should we remove your content or delete your account we will notify you via email. If you believe your account has been deleted in error or you wish to delete your account please contact us at www.vocali.uk.
Content you delete may exist for a limited period of time in backup copies. This paragraph, and the section below, Our Agreement and What Happens if We Disagree will continue to apply even after your account is terminated or deleted.Our Agreement and What Happens if We Disagree• Should any aspect of this agreement be unenforceable, the rest will remain in effect.
• Amendment or waiver of the agreement must be in writing and signed by a director of Vocali Ltd. If Vocali Ltd fails to enforce any aspect of this agreement this will not constitute a waiver.
• We reserve all rights which are not expressly granted to you in these Terms of Use.
Who Has Rights Under this Agreement
• This agreement does not give rights to any third parties.
• You cannot transfer your rights or obligations under this agreement without our written consent.
• Our rights and obligations can be assigned to others.
Who Is Responsible if Something HappensWe provide our Service to you and aim to ensure it remains a safe and secure environment. We are not able to guarantee that our Service will not be disrupted, suffer from delays or remain perfect in its function. Providing that we have acted with reasonable skill and judgement, we do not accept responsibility for:
• Losses not stemming from our breach of these Terms or otherwise by our actions;
• Losses that are not reasonably foreseeable by either party at the time of entering into these Terms of Use.
• Offensive, inappropriate, obscene, unlawful or objectionable content posted by other users that you may encounter on our Service.
• Events beyond our control.
The above section does not exclude or limit our liability for death, personal injury, or fraudulent misrepresentation caused by Vocali Ltd.’s negligence. It also does not exclude or limit our liability where the law does not permit us to do so.
How We Will Handle DisputesIn all cases you agree that any claim must be resolved in a competent court in the United Kingdom and that English law will govern these Terms of Use and any claim, without regard to conflict of law provisions.Unsolicited MaterialWe always appreciate feedback or other suggestions from the Users of our Service, but may use them without restriction or obligation to compensate you for them, and are under no obligation to keep feedback or suggestions confidential.Updating These TermsWe may change our Service, Terms of Use and policies that govern the use of the Service. We will notify you at least 30 days before we make changes to these Terms and give you an opportunity to review them before they go into effect. After this time if you continue to use the Service, you will be bound by the updated Terms. If you do not want to agree to any of the updated Terms, your account will deleted after the 30 day period.Date of Last Modification: 2nd March 2021

IntroductionThis privacy policy explains how Vocali (referred to in this document as “Vocali”, “we”, “us” or “our”) collect, use and protect your information on our mobile service, website and software provided on, or in connection with Vocali services (referred to in this document as “the Service”), and your choices about the collection and use of your information.Users & User ContentThis Policy applies to all individuals who visit, use or access the Service (referred to in this document as, “Users”.As a User of our Service you agree that we are providing a platform for you to post content; including audio recordings (sound clips), audio recordings merged with images (soundscapes) and other materials (referred to in this document as, “User Content”), to the Service which is shared in a public environment. This means other Users may search for, see or use any of the User Content that you make available through the Service, consistent with Vocali’s Terms of Use (found at http://www.vocali.online/terms).Information We CollectUser Provided Information• Your name, username, email address, password when you register for a Vocali account
• User Profile information that you provide.
• User Content that you record, post or upload to the Service.
• Communication between you and Vocali. Including but not limited to emails regarding the Service, account verification, changes and updates to any aspect of the Service, technical and security notices.
Analytics InformationWe use third-party analytics tools to measure traffic and usage of the Service. These tools collect information sent by your device or the Service that assists us in improving the Service. We collect and use analytics information in conjunction with information from other users, so that it cannot be used to identify any particular individual User.Device IdentifiersWhen the Service is used via a mobile device we may access, collect, monitor and store a device identifiers on your device. Device identifiers are small data files stored on or associated with your mobile device which uniquely identify it. A device identifier may be data stored in connection with the device hardware, operating system, other software or data sent to the device by Vocali.A device identifier may deliver information to us about how you use the Service and may be used to help us provide reports to help improve the Service. Some features of the Service may not function properly if the availability of device identifiers is impaired or disabled.Log File InformationLog file information is automatically reported by your browser each time you make a request to access Vocali. It can also be provided when part of the contents of a webpage or app is downloaded to your browser or device.When you use our Service, servers automatically record certain log information, including your web request, Internet Protocol address, number of interactions and how you interact with the Service as well as other information. We may also collect similar information from emails sent to Users which then help us identify which emails are opened and which links are clicked by recipients. The information allows for more accurate reporting and allows us to improve the Service.MetadataMetadata is technical data that is associated with User Content, such as date, plays, content length and the user who uploaded the content.
How We Use Your Information
• To help you efficiently access your information after you sign in
• By remembering information so you will not have to re-enter it
• To provide, improve and monitor our Service metrics
• To develop and test new products and features
• To Diagnose or fix problems with the Service
• To Update the Vocali application on your device
Sharing your informationWe will not rent or sell or distribute your information to third parties outside of Vocali without your consent, except as stated in this Policy.• We may share User Content and your information, including but not limited to; information from cookies, log files, device identifiers, location data, and usage data.
• We also may share your information and information from tools like cookies, log files, and device identifiers with third-party organizations who help us provide our Service to you (referred to in this document as "Service Providers"). Service Providers will be given access to your information as is reasonably necessary in order to provide the Service.
• We may combine your information with other information in a way that it can no longer be associated with you and share the aggregated information. We will remove parts of any data that can be used to identify you before it is shared.
Parties with whom your User Content is shared
• Any information or content that you voluntarily record, post or upload to the Service is available to any other Users of the Service.
• If you remove information that you posted to the Service, copies may remain accessible in cached and archived pages of the Service.
What happens in the event of a change of control?Should we sell or transfer part or the whole of Vocali or its assets to another organization through a transactional event like a merger, acquisition, bankruptcy, dissolution or liquidation, any personal information collected through the Service may be among the items sold or transferred. The buyer or transferee must honour the commitments outlined in this Privacy Policy and you will continue to own your User Content.Responding to legal requests and preventing harmWe may access, preserve and share your information in order to respond to a legal request if we believe the law requires us to. We may also access, preserve and share information when we believe it is necessary, in order to:
• Detect, prevent and address any illegal activity.
• To protect ourselves, you or others, including as part of investigations.
• To prevent death or harm of any description.
Information we receive about you will be accessed, processed and retained for an extended period of time when it is the subject of a legal request or obligation, governmental investigation or investigations concerning possible violations of our terms or policies.
How we store and process your information• Your information collected through the Service may be stored and processed in the United Kingdom or any country in which third parties who help us provide the Service may operate.
• Vocali and its Service Providers may transfer information that we collect about you, including personal information across borders and from your country or jurisdiction to other countries or jurisdictions around the world.
• Service Providers based outside of the United Kingdom may transfer information, including personal information, to a country and jurisdiction that does not have the same data protection laws as the jurisdiction of the United Kingdom.
• By registering for and using the Service you consent to the transfer of information to the United Kingdom or to any other country in which Vocali and its Service Providers maintain facilities and the use and disclosure of information about you as described in this Privacy Policy.
• We use commercially reasonable safeguards to help keep the information collected through the Service secure and take reasonable steps to verify your identity before granting you access to your account.
• Vocali cannot ensure the security of any information you transmit to Vocali or guarantee that information on the Service may not be accessed, disclosed, altered, or destroyed.
• At all times you are responsible for maintaining the secrecy of your password and account information, and for controlling access to emails between you and Vocali.
Your Choices About Your Account Information & Profile Settings
• Update your account at any time by logging in and changing your profile settings.
• Unsubscribe from email communications from us by clicking on "unsubscribe" provided in our emails. You may not opt out of Service-related communications, including but not limited to, account verification, updates to features of the Service and technical & security notices.
How long we keep your User ContentFollowing deletion of your account, Vocali and its Service Providers may retain account information and User Content for a commercially reasonable time for backup, archiving and/or audit purposes.Children’s PrivacyVocali does not knowingly collect or solicit any information from individuals under the age of 13 or knowingly allow persons under the age of 13 to register for the Service nor are the Service and its content directed at children under the age of 13.In the event that we learn that we have collected personal information from a child under age 13, we will delete that information as quickly as possible. (If you believe that we might have any information from or about a child under 13, please contact us via email which can be found at www.vocali.uk).Contacting VocaliIf you have any questions about this Privacy Policy or the Service, please contact us via email which can be found at www.vocali.uk.In the event of the death of a Vocali User you may submit your request using the method above. If we require any other information, we will contact you at the email address provided in your request.Changes to our Privacy PolicyWe will notify you at least 30 days before we make changes to the Privacy Policy and give you an opportunity to review them before they go into effect. After this time if you continue to use the Service, you will be bound by the updated Privacy Policy. If you do not want to agree to any of the updated Policy, your account will deleted after the expressed 30 day period.Date of Last Modification: 2nd March 2021
